Terms of Service Platform Agreement

01. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Reviato website, application, and related services operated by EthosLink LLC (“Company”, “we”, “our”, or “us”).

Our Privacy Policy also applies to your use of the Service. By accessing or using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, you may not use the Service. You can contact us through the Contact form if you have questions.

These Terms apply to visitors, account holders, trial users, subscribers, and anyone else who accesses or uses the Service.

02. Communications

When you create an account, request information, or use the Service, we may send service messages, onboarding messages, product updates, newsletters, or promotional materials.

You can opt out of marketing communications by using the unsubscribe link in the message or by contacting us through the Contact form. We may still send transactional or service-related messages needed for your account, subscription, security, billing, or support.

03. Purchases

If you buy a product, subscription, or service through Reviato (“Purchase”), you may need to provide payment and billing information.

You represent that you have the legal right to use the payment method you provide and that the information you submit is accurate, complete, and current.

We may use third-party payment services to process Purchases. By submitting payment information, you authorize us to share the information needed to complete the Purchase, subject to our Privacy Policy and the payment provider’s terms.

We may refuse or cancel a Purchase because of availability, pricing or description errors, order errors, suspected fraud, unauthorized transactions, illegal activity, or other legitimate reasons.

04. Contests, Sweepstakes, And Promotions

Any contest, sweepstakes, or promotion made available through the Service may have separate rules. If those rules conflict with these Terms, the promotion rules apply to that promotion.

05. Subscriptions

Some parts of the Service are billed on a subscription basis (“Subscription”). Subscriptions are billed in advance on a recurring billing cycle, usually monthly or annually depending on the plan you choose.

At the end of each billing cycle, your Subscription renews automatically unless you cancel it or we cancel it. You may cancel renewal through your online account page or by contacting support.

You must provide accurate billing information and a valid payment method. By submitting payment information, you authorize EthosLink LLC or its payment processor to charge Subscription fees incurred through your account.

If automatic billing fails, we may ask you to complete payment manually by the deadline shown on the invoice or payment notice.

Payment processing for subscriptions is managed by Paddle. By subscribing, you also agree to Paddle’s applicable terms and policies. Paddle’s privacy policy is available at paddle.com/privacy. We are not responsible for issues caused directly by Paddle’s payment system.

06. Free Trial

We may offer a Subscription with a free trial for a limited period.

You may need to enter billing information to start a free trial. If you do, you will not be charged until the trial ends. Unless you cancel before the last day of the trial, you will be charged the applicable Subscription fee for the plan you selected.

We may modify or cancel a free-trial offer at any time.

07. Fee Changes

We may change Subscription fees. Fee changes take effect at the end of the current billing cycle.

We will provide reasonable notice before a Subscription fee change takes effect so you can cancel before the new fee applies.

Your continued use of the Service after a fee change takes effect means you agree to pay the updated fee.

08. Refunds

We issue refunds for Contracts within fourteen (14) days of the original purchase of the Contract.

09. Content

Content available through the Service is owned by EthosLink LLC, licensed to us, or used with permission, except for content provided by users or third parties.

You may not distribute, modify, transmit, reuse, download, repost, copy, or use content from the Service for commercial purposes or personal gain without our prior written permission, unless the Service expressly allows that use.

10. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  1. In any way that violates applicable national, international, federal, state, local, privacy, consumer-protection, platform, or data-protection law.
  2. To exploit, harm, or attempt to exploit or harm minors.
  3. To send spam, junk mail, chain letters, or similar unsolicited messages.
  4. To impersonate the Company, a Company employee, another user, or any other person or entity.
  5. In a way that infringes another person’s rights or supports unlawful, fraudulent, threatening, harmful, or illegal activity.
  6. In a way that restricts or interferes with anyone’s use of the Service, harms users, or exposes the Company or users to liability.
  7. To misuse customer data, consent records, appraisal details, review data, or platform information.
  8. To claim, imply, or operate a review workflow that filters, gates, suppresses, buys, fabricates, or manipulates public reviews.
  9. To violate applicable data-protection laws, including GDPR, CCPA, PIPEDA, or similar laws where they apply.

You also agree not to disable or overload the Service, scrape it without permission, interfere with its systems, introduce harmful code, attempt unauthorized access, attack the Service, falsify Company ratings or reputation data, or otherwise interfere with proper operation.

11. Third-Party Providers

The Service uses third-party providers for payment processing, delivery, analytics, error tracking, email, and infrastructure. These providers operate under their own terms and privacy policies. We are not responsible for issues caused directly by their services.

Current third-party providers include Paddle, Cloudflare, PostHog, Sentry, and ZeptoMail/Zoho.

12. No Use By Minors

The Service is intended only for individuals who are at least eighteen (18) years old. By using the Service, you represent that you are at least eighteen and have the authority and capacity to enter into these Terms.

13. Accounts

When you create an account, you must provide accurate, complete, and current information. Inaccurate or incomplete information may result in account termination.

You are responsible for maintaining the confidentiality of your account and password and for all activity under your account. You must notify us immediately if you become aware of unauthorized access or a security breach.

You may not use another person’s name, a name you are not authorized to use, a trademarked name without permission, or a username that is offensive, vulgar, or obscene.

We may refuse service, terminate accounts, remove or edit content, or cancel orders in our discretion.

14. Intellectual Property

The Service and its original content, features, and functionality remain the exclusive property of EthosLink LLC and its licensors, except for content provided by users.

The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without prior written consent.

We respect intellectual-property rights. If you believe content on the Service infringes your copyright or other intellectual-property rights, contact us through the Contact form with the subject “Copyright Infringement” and include the information described in the DMCA section below.

You may be responsible for damages, costs, and attorneys’ fees if you misrepresent a copyright claim or submit it in bad faith.

16. DMCA Notice And Procedure

To submit a DMCA notice, provide:

  1. An electronic or physical signature of the person authorized to act for the copyright owner.
  2. A description of the copyrighted work you claim has been infringed.
  3. The URL or specific location on the Service where the allegedly infringing material appears.
  4. Your address, telephone number, and email address.
  5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, the owner’s agent, or the law.
  6. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the copyright owner.

17. Error Reporting And Feedback

You may send us feedback, suggestions, errors, ideas, problems, complaints, or other information about the Service (“Feedback”).

You agree that Feedback does not give you intellectual-property rights in the Service, may overlap with ideas we already have, should not include confidential or proprietary information, and does not create a confidentiality obligation for us.

If ownership of Feedback cannot be transferred under applicable law, you grant us and our affiliates a transferable, irrevocable, free-of-charge, sublicensable, unlimited, and perpetual right to use Feedback in any manner and for any purpose.

The Service may contain links to third-party websites or services that we do not own or control.

We are not responsible for the content, privacy policies, practices, goods, or services of third-party websites or services. You should read the terms and privacy policies of any third-party site you visit.

19. Disclaimer Of Warranty

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SERVICE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH IT IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF HARMFUL COMPONENTS.

THIS SECTION DOES NOT AFFECT WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

20. Limitation Of Liability

EXCEPT AS PROHIBITED BY LAW, EthosLink LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THESE TERMS, THE SERVICE, OR YOUR USE OF THE SERVICE.

EXCEPT AS PROHIBITED BY LAW, IF LIABILITY IS FOUND, IT WILL BE LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCTS OR SERVICES AT ISSUE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PART OF THIS LIMITATION MAY NOT APPLY TO YOU.

21. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitation-of-liability provisions.

22. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law provisions.

Our failure to enforce a right or provision is not a waiver of that right or provision. If a court finds part of these Terms invalid or unenforceable, the remaining provisions remain in effect.

These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service and replace prior agreements about the Service.

23. Changes To Service

We may withdraw, amend, restrict, or discontinue all or part of the Service at any time. We will not be liable if the Service, or any part of it, is unavailable at any time or for any period.

24. Amendments To Terms

We may amend these Terms by posting updated Terms on this site. You are responsible for reviewing them periodically.

Your continued use of the Service after revised Terms become effective means you agree to the revised Terms. If you do not agree, you are no longer authorized to use the Service.

25. Waiver And Severability

No waiver of any term or condition is a continuing waiver of that term or any other term.

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the rest of the Terms will remain in effect.

BY USING THE SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND AGREE TO BE BOUND BY THEM.
